Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZDrive web application and related services available at zhdrive.in(the "Service"), operated by ZennialHub ("we", "us", "our"), also reachable at zennialhub.in. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. Eligibility and Your Account
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, unless using the Service under the verifiable consent of a parent or legal guardian. You must provide accurate information when creating an account and are responsible for keeping your login credentials secure. You are responsible for all activity that occurs under your account.
The Service supports optional two-factor authentication (an authenticator app, with one-time recovery codes issued when you enable it). If you enable it, you're responsible for keeping your authenticator and recovery codes safe - losing both together can permanently lock you out of your account. You can view and remotely sign out your own active sessions at any time from account settings.
2. Partner-Provisioned Accounts
Some accounts are created not by the user directly, but by one of our reseller or ISP partners ("Partners") who offer ZDrive storage as part of their own product or service bundle, using our partner integration API. If your account was set up this way:
- Your Partner selects your initial plan and storage allocation, and can change your plan or suspend your account on our platform - for example, if your bundle or subscription with them lapses, is cancelled, or is renewed. Suspension pauses access to the Service; it does not delete Your Content.
- You still own Your Content, and these Terms still govern your use of the Service directly with us. Your commercial relationship - billing, bundle terms, and support for the underlying product your Partner sold you - is with your Partner, not with us.
- We do not give your Partner access to the contents of your files. Your Partner can see and manage account-level information such as your email, name, plan, account status, and storage usage - see our Privacy Policy for details.
Regardless of how your account was created, you can contact us directly at any time using the details in Section 13 (Contact Us) about your ZDrive account.
3. Your Content
You retain ownership of all files you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to store, encrypt, back up, and transmit Your Content solely for the purpose of operating the Service (for example, so that you can retrieve and share your own files).
You are solely responsible for Your Content and confirm that you hold all necessary rights to it. You agree not to upload content that:
- Infringes someone else's intellectual property or other rights
- Is unlawful under Indian law, fraudulent, or violates any applicable law or regulation, including content prohibited under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
- Contains malware, viruses, or other harmful code
- Violates the privacy or rights of any third party, or constitutes obscene, defamatory, or harassing material
Every upload is automatically scanned for malware before it can be shared; files that are flagged as malicious are blocked, and files that cannot yet be scanned are held back from sharing until they can be. We reserve the right to remove content, disable access, or suspend accounts that violate these Terms or applicable law, including upon receipt of a valid legal order or a report under our grievance mechanism.
4. Subscriptions and Billing
ZDrive offers a free plan with limited storage/upload capability and paid subscription plans with expanded features. Paid subscriptions are charged and managed on a recurring basis through Razorpay, our payment gateway, until cancelled. If your subscription expires or is not renewed, your account reverts to free-plan limitations (for example, new uploads may be paused) - your existing stored files are not deleted solely due to a lapsed subscription, though normal storage-limit and retention rules still apply.
If your account was provisioned by a Partner under Section 2, your subscription and payment for the Service is governed by your arrangement with that Partner, rather than billed to you directly - your Partner controls your plan and storage allocation on our platform accordingly.
Fees are described at the time of purchase, are inclusive/exclusive of applicable Goods and Services Tax (GST) as indicated at checkout, and are subject to change with reasonable notice for future billing periods.
5. Sharing Files
The Service lets you generate share links for individual files. Anyone with a valid, unrevoked share link may access that specific file, unless it is still pending malware scanning or has been flagged as malicious, in which case sharing is blocked. You are responsible for controlling who you share links with and for revoking access when appropriate, and for ensuring you have the right to share the content with the intended recipient.
6. Acceptable Use
You agree not to:
- Attempt to gain unauthorized access to the Service or other users' accounts or data
- Use the Service to store or distribute unlawful content
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to bypass storage quotas, sharing controls, two-factor authentication, session security, or other account-protection measures
- Reverse engineer or attempt to extract the source code of the app, except where applicable law permits it
- Use the Service in any manner that could subject ZennialHub to liability under Indian law
7. Storage Limits and Service Availability
Storage capacity and upload limits depend on your plan. We aim to keep the Service available and your data safe, but we do not guarantee uninterrupted availability and recommend keeping independent backups of anything critical. We are not liable for data loss arising from causes outside our reasonable control, including force majeure events.
8. Grievance Redressal
In accordance with the Information Technology Act, 2000 and the rules made thereunder, complaints regarding the Service or Your Content may be directed to our Grievance Officer, whose details are published in our Privacy Policy. Reports of security vulnerabilities can also be sent through our Security Policy. We will acknowledge and address grievances within the timelines prescribed under applicable law.
9. Termination
You may delete your account at any time from within the app, which permanently removes your account and files. We may suspend or terminate your account if you violate these Terms or applicable law, or upon a valid legal directive. If your account was provisioned by a Partner under Section 2, your Partner may also suspend your account as described there; you can still reach us directly at any time using Section 13 (Contact Us).
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, ZennialHub and its officers, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory consumer-protection venue rights you may have under Indian law, the courts at Mumbai, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
13. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are provided as a general compliance framework and do not constitute legal advice. ZennialHub should have these Terms reviewed by a qualified Indian legal professional before wide public release, particularly to confirm the jurisdiction clause, GST treatment, the Partner-provisioned account arrangement in Section 2, and consumer-protection obligations under the Consumer Protection Act, 2019 and its E-Commerce Rules, 2020 (which may apply depending on how the Service is offered).
